Acceptance of these terms
By creating an account, signing in, registering a company, using the member portal, or joining the merchant program, you agree to use Orbit in line with these terms and all applicable laws.
Accounts, roles, and access
Each company is responsible for the staff, member, merchant, and role-profile access created under its account. Login details must be kept secure, and activities performed with an authorized account may be treated as actions of that user or company.
- Companies should assign only the permissions needed for each staff role.
- Members should keep their portal login, wallet access, and transaction confirmations private.
- Merchants must provide accurate onboarding, contact, and verification details.
Company data, member records, and KYC
Companies remain responsible for the accuracy of member records, savings, loans, investments, repayments, bill payments, branches, reports, and uploaded files. Where KYC, BVN, NIN, photo capture, or identity checks are enabled, users must submit true information and must not verify on behalf of another person without authority.
Each company is responsible for collecting any member consent, agreement, or regulatory approval required for the financial products it offers through Orbit.

Company products and member transactions
Companies configure their own savings, loan, investment, commodity, bill payment, cashback, charge, and merchant rules. Product names, interest, fees, penalties, repayment schedules, maturity dates, deposits, visibility settings, and member eligibility are controlled by the company and should be reviewed before publishing.
- Loan and commodity repayment rules are set by the company product, not by the member at application time.
- Where a commodity product requires an initial deposit, the deposit must be paid before delivery can be completed.
- Charges, provider costs, commissions, penalties, and losses shown in reports depend on the settings and provider responses available at the time of posting.
Billing, wallets, and payment services
Subscription fees, wallet funding, messaging costs, bill payments, gateway charges, and related service fees may apply. Online payments may post automatically after successful confirmation from the payment provider. Manual payments may require review and approval before value is credited.
Third-party services such as payment gateways, bill payment providers, SMS, WhatsApp, email, banking, and verification providers are subject to their own availability, rules, limits, and charges.
Module activation fees, white-label branding fees, wallet maintenance fees, communication units, and other paid add-ons may be one-time, recurring, or usage-based as shown inside the platform before activation or use.
Wallets, maintenance charges, and auto-debits
Companies may enable wallets, wallet funding, wallet transfers, savings deposits, loan repayments, commodity repayments, and monthly wallet maintenance charges. Where enabled, approved debits may be applied from a member wallet or other available payment source according to the company settings.
- Recurring wallet maintenance charges may be deducted automatically or run manually by an authorized company user.
- If a wallet balance is not enough, eligible pending charges may remain outstanding and be deducted when funds become available.
- Members should report unauthorized activity quickly so the company can review the ledger and payment trail.
Notifications, templates, and delivery channels
Companies may send portal alerts, email, SMS, WhatsApp, greetings, reminders, scheduled messages, and transactional notifications. Default message templates may be edited by the company where the feature is available.
Delivery depends on correct member contact details, sufficient communication units, active provider credentials, network availability, and provider acceptance. Failed, delayed, or blocked messages may appear in logs for review.
White-label domains, website, and mobile app
Companies that activate white-label branding may connect a custom domain, configure member login and signup links, edit their website content, and set mobile app/PWA identity such as app name, icon, colors, and launch URL.
- Domain setup depends on correct DNS, hosting, SSL, and server configuration by the domain owner or hosting provider.
- Installed web apps on iPhone, Android, or desktop depend on browser and device support for PWA features.
- Custom APK, Play Store, App Store, or other downloadable app links are the responsibility of the company unless a separate app build service is agreed.
Scheduled jobs and automated actions
Orbit uses scheduled jobs for reminders, auto-debits, wallet maintenance, renewals, settlements, summaries, score refreshes, and other background actions. These jobs depend on the server scheduler, hosting environment, queue workers where used, and provider availability.
Companies should regularly review reports, logs, and transaction histories because automated actions can be delayed or skipped if the server scheduler is not running or if a provider rejects a request.
Fair use and prohibited activity
You must not use the platform for fraud, unauthorized debits, misleading records, illegal lending, identity misuse, spam, security attacks, reverse engineering, or any activity that can harm NewKipp, its companies, merchants, members, providers, or the public.
Availability, updates, and support
We work to keep the platform reliable, but service may be affected by maintenance, internet failure, hosting, provider downtime, banking network issues, device limitations, or force majeure events. New features, security updates, pricing, and workflows may be improved over time.
Support may require screenshots, transaction references, member details, provider responses, or server logs to investigate an issue properly.
Suspension, termination, and changes
Access may be suspended or restricted where there is non-payment, suspected fraud, platform abuse, legal risk, or violation of these terms. NewKipp may update these terms when needed, and continued use after an update means the revised terms apply.
Where legally or operationally required, NewKipp may preserve transaction, audit, billing, message, and security records after an account is closed.
